Welcome to RoboLabs website and modern accounting services platform for small and medium businesses. These Terms of Service are intended to clarify and explain our responsibilities as service providers and to you as a visitor and user. IT IS VERY IMPORTANT TO READ THESE TERMS OF SERVICE CAREFULLY.

By browsing this site and using any of the services provided, you agree to be bound by these terms of service without reservation. If you are not satisfied with these terms, rules, policies, our service guidelines, it is your responsibility to no longer use our service, unless otherwise stated in these terms of service. If, for various reasons, you are unable to comply with these terms or violate these terms, your right to use our services will be terminated and you will be obligated to destroy any downloaded or stored data from our platform.

The terms of the bilateral service agreement between the users and RoboLabs shall prevail, if any, between the terms of service stated on this site.

RoboLabs reserves the right to change or supplement these Terms of Service without prior notice. You will be notified of any significant changes by special announcement on the RoboLabs website. By using our services, you agree to the most recent terms of service contained on this site.

A. TERMS

Below is a list of terms with meanings in these Terms of Service.

1. "Agreement" means the Terms of Service.
2. "Applicable law" means the law currently in force in the Republic of Lithuania.
3. "Site" means this and other related RoboLabs Service Sites, but does not apply to any third party site to which you may link or use any link to the RoboLabs Service.
4. "Service" and "Services" mean modern accounting services and other small and medium business related services and support.
5. "User" means a person who has a RoboLabs account and uses the RoboLabs Services.
6. "Support" means both paid and free assistance to RoboLabs users, site visitors and third parties involved.
7. "RoboLabs", "we", "us" means all entities of UAB RoboLabs.
8. "Platform" means the Website and all mobile and online applications that access RoboLabs Services and RoboLabs employees.
9. "Partners" means all RoboLabs partners, suppliers, subcontractors and their employees.
10. "You", "Visitor" and "User" mean any person who visits the RoboLabs website or uses the services provided by RoboLabs.

B. GENERAL

RoboLabs gives you the opportunity to use the services provided by RoboLabs without transfer to others as set out in these Terms of Service. You agree not to infringe upon the intellectual property rights of us and our Affiliates. You agree to be bound by all of the terms of the license agreement.

You understand that you are solely responsible for the Internet connection and all equipment, including but not limited to your computer, modem, printer, mobile devices, and other equipment required for your use of the Services. You will also be responsible for the operation of your internet connection and equipment.

You agree that all communications, disclosures, contracts and other communications that we deliver to you will comply with electronic document law, including the requirement that such documents be in writing, accessible, reviewed, printed and stored by you.

RoboLabs users can grant permissions and passwords to authorized users. Such authorized users may have access to information and perform various actions, including but not limited to document sharing, billing, document management, and other actions to which users have granted rights on their behalf. If you administer your RoboLabs account on behalf of a company, you have the right to grant such access and passwords to authorized users.

We may, without notice and liability, supplement or modify these Terms of Service, including but not limited to the sample of the Services, the time of service required to access the Services. We may also restrict the geographical locations in which our Services may be provided.

Service users are responsible for the security of their username and password. Users are responsible for any action taken upon logging in with their personal password to their RoboLabs account, including unauthorized logins.

You are solely responsible for ensuring that all information, data and documents you use, disclose and enter into the system are accurate and reliable and do not violate our content guidelines.

You represent and warrant that you have the necessary consents and comply with all applicable laws, including but not limited to the privacy requirements that apply to the disclosure and use of the services provided by RoboLabs. Except as otherwise provided in this Agreement, RoboLabs assumes no responsibility for the accuracy of any information, data or documents that you enter into using RoboLabs Services. Entering and storing data does not imply our endorsement that it complies with applicable law, is accurate, timely, fully completed or reliable.

C. TERMS OF USE

You agree to use the RoboLabs Services for the purpose for which the Services are provided and only in accordance with the terms of this Agreement.

By creating a RoboLabs account, you agree and represent that you will only provide us with accurate, up-to-date, accurate information in the registration form and questionnaire. By registering, you confirm that you agree to entrust us with your personal information for the purposes set out in this Privacy Policy. Once you have chosen your username and password, you will be responsible for the confidentiality of this data. If you are not a company director and you wish to create an account on behalf of a company, you must obtain written approval from the company director that you are authorized to create an account and give authorized sign-ups to other company representatives. In the absence of a written appointment by the responsible person with the Director's consent, all changes and authorizations to the account may be made only by the Director himself. You have no objection to having the person in charge leave the system with the director of the company or a newly appointed responsible person.

You are solely responsible for all actions on your account. If you have an unauthorized login to your account, notify us immediately. You will not be liable to RoboLabs and RoboLabs Partners for any loss or liability incurred by any person who accesses your account with or without your knowledge.

You will be liable for any damages that RoboLabs or RoboLabs affiliates may incur as a result of activity on your account, whether or not you are directly responsible for it.

We are responsible for the security of the Cardholder's data that is collected, transmitted, stored or processed on our behalf. Cardholder details include card number, account number, cardholder's name, expiration date, and service code. RoboLabs has a top-level security system to store cardholder data.

You acknowledge and agree that you are not permitted to enter cardholder data into any unassigned fields on the RoboLabs platform. For the sake of clarity, it is forbidden to enter this data in fields labeled "Comment" or similar. You are solely responsible for the security of your card's personal data if you fail to comply with these instructions.

You designate us to be responsible for managing your payroll and give you full authority over third parties to enable us to provide our Services. This includes consenting to access and transfer bank account numbers for your employees. You will indemnify you for any loss resulting from wire transfers to your employees' bank accounts other than fraud, negligence or error on the part of RoboLabs and RoboLabs Partners.

D. INTERNET ACCESS TO FINANCIAL INSTITUTIONS

Some electronic services (including online banking, some payroll services, and other service related services) are provided by financial institutions and other related third parties, not ours. You release RoboLabs from all liability associated with your use of these electronic services. Your access to these services may be restricted by the terms of service described by third parties. Third parties may charge you for services rendered. You will be responsible for all charges and costs (including SMS, shipping). You acknowledge that you have the right to provide us with usernames, passwords, personal information and other information required to sign in to the Third Party Services.

E. SOFTWARE NOTIFICATIONS

If the user were required to download the software necessary for the provision of the service, such software would not be downloaded without the consent of the software license agreement. Your use of the Software is described in these Terms of Service and the License Agreement.

Also, by using the Services, you agree to receive notifications on the RoboLabs platform related to the provision of Services.

F. COPYRIGHT, TRADEMARK AND INTELLECTUAL PROPERTY

RoboLabs owns all intellectual property relating to the URLs, Materials, Products, Site Content, Site Design, Site Layout, Photos, Text, Tools and Software of the Service, except for your data and information you provide to us through the services provided by RoboLabs. The technical procedures, processes, concepts, and methodologies used in our software are trade secrets. Using our services does not imply the sale or transfer of intellectual property to users. Without prejudice to the foregoing, any information or data entered by the user into our software or otherwise transmitted to us will remain the property of the user at all times. In order for RoboLabs to provide its services, the user grants full, royalty-free, worldwide rights to the user-provided content.

All material, including the content of the website and software, is protected by applicable intellectual property laws. Based on your ownership of the User Content and the Data, RoboLabs reserves all rights to use that data. You will not store, download, share, sell, distribute, transfer or modify the RoboLabs software code without the written permission of RoboLabs. The User will also take all reasonable steps to prevent unauthorized use, copying or transfer of the RoboLabs Software and any information contained therein.

Notwithstanding the foregoing, you may use separate screens (screenshots) of the Services under the terms below. Your screen views must meet the following conditions:

1. taking screenshots of the RoboLabs software beta versions is prohibited unless the beta version is commercially available for general use;
2. screenshots can only be used for illustrative purposes;
3. the use of screen shots does not imply endorsement or consent by RoboLabs;
4. screenshots may not contain any comments made by us;
5. the screenshots do not contain any third party content; and
6. use is without prejudice to any of the Terms of Service.

RoboLabs owns the rights to several trademarks used in the Website and in the software. RoboLabs does not grant users any right or license to use the RoboLabs trademarks or logo, unless otherwise described in a separate agreement.

G. PROHIBITION OF USE

Users may access and use information for the provision of the Services only for lawful purposes. It shall be prohibited to use this information for fraudulent or unlawful conduct which may lead to administrative and criminal liability.

Users agree, in good faith, not to post, publish, promote, disseminate, introduce unlawful, dishonest, malicious, threatening, offensive, obscene, inciting ethnic or racial discord, immoral or similar information.

The User shall not use any means to restrict or prevent another User from accessing and using the RoboLabs Platform.

The User is not authorized to upload to the RoboLabs Platform any material that infringes any intellectual property rights or material that unnecessarily burdens the operation of our sites, systems and equipment. It is prohibited to use the RoboLabs Services in a way that could block access, damage or disable the RoboLabs Platform or any of our servers. Trying to gain unauthorized access to other RoboLabs user accounts is prohibited.

It is forbidden to upload any virus-infected electronic documents, material or software that could damage another computer. All uploads of this type are subject to applicable law.

Users are prohibited from renting, selling, sublicensing, assigning or otherwise managing the Software if intellectual property rights are not respected.

Users are prohibited from promoting any commercial interest, tampering with or deleting information on the RoboLabs platform, collecting personal information without our express consent, violating applicable law, creating a false identity, or using RoboLabs in defamatory statements.

H. LIMITATION OF LIABILITY

USERS AND VISITORS AGREES TO FULLY INDEMNIFY ROBOLABS FOR ALL KINDS CLAIMS, COSTS, CLAIMS OR DEMANDS, DEBTS, ACTION, LIABILITIES, LEGAL FEES, PAYOUT (SHORT - "CLAIMS"), INCLUDING, BUT NOT LIMITED TO LOST PROFITS, INDIRECT, INCIDENTAL, SPECIAL ANY LIABILITY, INCURRED OR INCIDENTAL, WHETHER OR NOT CONTAINED IN YOUR USE OF (I) THIS AGREEMENT, (II) YOUR USE OF, THE INTERNET DISORDER, (V) USE OF RIGHTS OR LOSS OF DATA INACCURATE INFORMATION, PAYMENT PROBLEMS, POOR FUNDS PAYMENTS, WRONG CALCULATION (EXCEPT FOR CASES DESCRIBED IN THESE TERMS OF SERVICE), DOWNTIME, IDENTITY THEFT, FORGERY WITHOUT PERMISSION, OR (VI) ANY INFORMATION, DOCUMENTS, MATERIALS, TOOLS, COM UNIVERSAL SERVICES, PRODUCT OR DATA RELATED TO YOUR USE OF THE ROBOLABS SERVICES AND SOFTWARE; REGARDLESS OF WHETHER SUCH CLAIM IS BASED ON CONTRACT, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH CLAIMS OR CLAIMS OF SUCH EMERGENCE COULD BE ESTIMATED WITHOUT ASSUMING ANY THESE TERMS OR SOFTWARE LICENSE REFERRED TO REDRESS ADEQUACY OR FAILURE.

ROBOLABS AND OUR PARTNERS IN NO EVENT BE LIABLE FOR ANY LOST PROFITS OR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY OR INCIDENTAL DAMAGES YOU OR YOUR PARTNER OF THIRD PARTIES IN CONNECTION WITH THIS AGREEMENT OR EXERCISED OR INABILITY TO USE THE SITE OR THE SERVICE, DESPITE THE FACT THAT WE WERE ALERT FOR POTENTIAL INJURY.

I. TERMINATION OF SERVICES

RoboLabs may terminate the Services to you at any time without notice, including, but not limited to, if you breach these Terms. Users may continue to use the Services until terminated by either party under the terms of this or another related agreement. The reasons for termination may include:

1. Reasons stated in the main terms of termination of the Service Agreement.
2. You have been issued a notice of non-compliance, but have not remedied the breach within 7 days.
3. In the case of the Company, by order to terminate the business except for the merger or reconstruction.

Upon termination, your access to the RoboLabs platform will be blocked immediately. Historical data will be exported to CSV or Excel files upon request.

J. OWNERSHIP AND DISCLOSURE

You own all of the personal data, content and information you enter into your business using RoboLabs. We do not claim your property. Notwithstanding the foregoing, we may need to disclose your details in the following cases:

1. fraud prevention and law enforcement purposes;
2. in compliance with any legal, state or regulatory requirement;
3. our attorneys involved in any legal process;
4. subject to court requirements.

Should we be required to disclose your details or information, we will make every effort to provide you with reasonable notice of the circumstances and, if possible, the right to challenge such decision. Our Privacy Policy details how we work to protect your privacy and limit the disclosure of your personal information.

K. THIRD PARTY LINKS, APPLICATION INTERFACES AND CONTENT

By using our Services and browsing our site you may encounter third party services or links to their sites.

Some features of the Services interact with third parties, such as Google, and rely heavily on third party application programming interfaces (APIs). If at any time such third parties no longer give us access to them through their application interfaces, we may terminate these third party services without our right to a refund or refund.

You acknowledge that such third parties are completely independent of RoboLabs and, as we have no control over them, we accept no liability for any inability to access the content of any of these websites. In addition, we may discontinue providing our application interfaces to such third party services at any time, in our sole discretion and without notice. You acknowledge that you accept the risk of using products and services (such as payment processing) offered by such third party service providers.

You acknowledge that the use of such third party service providers' websites and services is subject to the terms, conditions and policies set forth by third party service providers, except as prohibited or modified by applicable law.

You expressly exclude us from any liability for claims arising out of or inability to use any third party products or services.

The availability of such third-party services in connection with the services provided by RoboLabs does not constitute an endorsement, warranty or representation of the suitability, quality or accuracy of any third party products or services.

L. DATA EXPORT CONSENT

The visitor and the user agree that we may retain copies of his / her transaction information collected through RoboLabs services. We will not share your personal information except as described in our Privacy Policy.

M. FORCE MAJEURE

Neither party shall be held liable for any failure to comply with the Terms of Service or for failure to cope with any unforeseeable event, including, but not limited to, natural disasters, power outages, server failures, third party service provider failures or service interruptions such as embargoes, labor disputes, strikes, riots, war, floods, insurrections, changes in laws and government action. The party affected by such an unforeseen event must be relieved daily from the day the unforeseen event began.

N. SEPARATION

All of these terms of service, regardless of how they are grouped or linked grammatically, are mutually exclusive. Should any of these terms be held invalid, the remaining terms of use shall remain in full force and effect.

O. LEGISLATIVE ACTS AND DISPUTE SETTLEMENT

All disputes regarding non-compliance with the terms and conditions of the Agreement shall be resolved by agreement of the Parties or, if the Parties do not agree, in accordance with the procedure established by the laws of the Republic of Lithuania. Disputes concerning the User Agreement shall be settled in the courts of the Republic of Lithuania.

P. LEGAL STATUS OF ROBOLABS

Website www.robolabs.lt and names RoboLabs, Robo Buhalteris, Robo Vadovas, Robo is the property of UAB RoboLabs.

R. LANGUAGE

You agree that this Agreement and all other related agreements, licenses, policies and other materials will be in English.

S. PRIVACY POLICY

RoboLabs privacy policy is an integral part of this agreement. RoboLabs Privacy Policy is based on applicable law and is subject to change or amendment.

T. INFORMATION PROVIDED BY THIRD PARTIES

The services provided by RoboLabs enable users to: access personal financial information via RoboLabs platform through third parties (such as banks) with which they have already contracted; use third-party service providers to accept or make payments on behalf of the user; deposit money into the account; submit all tax returns through third parties. RoboLabs works with financial institutions and other third parties to access financial information for the provision of the Services. RoboLabs does not review this financial information for any purpose other than maintaining accuracy. You are responsible for the accuracy, completeness and timeliness of the information we and third parties require.

U. REGISTRATION INFORMATION

Visitors and Users are responsible for maintaining the confidentiality of RoboLabs platform logins and passwords.
